Organization Terms
Additional terms that apply when you create or administer an organizational account on our platform.
These Organization Terms (“Org Terms”) supplement our Terms of Serviceand apply specifically to any person or entity that creates, owns, or administers an organizational account (“Organization”) on the Virtuollis platform. By creating or using an Organization, you agree to these Org Terms in addition to our general Terms of Service.
1. Creating an Organization
Any registered Virtuollis user may create an Organization. When you create an Organization, you become its “Owner” and are solely responsible for all activity that occurs under that Organization, including activity by members you invite or permissions you grant.
- You must provide accurate and complete information about the Organization at the time of creation.
- An Organization name must not impersonate another person or entity or use a name that is misleading, abusive, or violates applicable law.
- You may create multiple Organizations, subject to any plan limits that apply to your account.
2. Organization Roles & Permissions
Organizations support the following roles. Owners may assign roles to members at their discretion.
Owner
Has full administrative access to the Organization, including the ability to add or remove members, manage billing, change settings, and delete the Organization. There must be at least one Owner at all times.
Admin
Can manage most Organization settings and members but cannot delete the Organization or change billing unless explicitly granted that ability by an Owner.
Member
Has access to Organization resources and projects as configured by Owners or Admins. Members may not change Organization-level settings or invite additional users unless explicitly permitted.
Billing Manager
Can view and manage billing and payment information for the Organization but does not have access to non-billing Organization settings or resources.
3. Member Access & Invitations
- Owners and Admins may invite users to join an Organization by email. Invitations expire after 7 days if not accepted.
- Each invited user must have or create a valid Virtuollis account to join.
- You are responsible for ensuring that all members comply with our Terms of Service and Acceptable Use Policy.
- Members may be removed from an Organization at any time by an Owner or Admin. Removed members immediately lose access to Organization resources.
4. Data Ownership & Access
Content and data created within an Organization (“Organization Data”) is owned by the Organization, not individual members. The Owner retains control of Organization Data and is responsible for managing access to it.
If a member leaves or is removed from an Organization, their personal account data remains their own, but any content they created within the scope of the Organization becomes the property of the Organization and continues to be accessible to remaining authorized members.
Virtuollis will not access Organization Data except as necessary to provide and maintain the Services, as described in our Privacy Policy and Data Processing Agreement.
5. Billing for Organizations
Organizations may be billed at the Organization level. The Owner or designated Billing Manager is responsible for keeping payment information current and for paying all fees associated with the Organization's subscription and usage. For complete billing terms, see our Billing Policy.
If an Organization's payment fails and is not resolved within the grace period specified in our Billing Policy, we may suspend or downgrade the Organization's plan.
6. Organization Transfers
Ownership of an Organization may be transferred to another member who holds an active Virtuollis account. To initiate a transfer, the current Owner must contact us at legal@virtuollis.com. Both the transferring Owner and the receiving party must consent in writing.
7. Organization Deletion
An Owner may request deletion of an Organization at any time. Upon deletion:
- All Organization Data will be permanently deleted after a 30-day grace period, during which you may request a data export.
- All members will immediately lose access to Organization resources.
- Any remaining prepaid subscription amount may be eligible for a pro-rated refund per our Billing Policy.
- Deletion is irreversible after the grace period.
8. Compliance Responsibilities
Organization Owners are responsible for ensuring that their use of the Virtuollis platform, and the use by their members, complies with all applicable laws and regulations, including data protection and employment laws. Virtuollis provides tools to help with compliance but does not provide legal advice.
9. Suspension & Termination of Organization Accounts
An Organization account may be suspended or terminated in accordance with our Suspension Policy and our general Terms of Service. If an Organization is suspended, all member access is suspended simultaneously.
